These Terms and Conditions (the "Terms") govern access to and use of Artomate / Artomate.app (the "Service") provided by MINESHOCK LABS LTD ("Mineshock Labs," "we," "us," "our"), a company registered in England and Wales, trading as Artomate. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are and how to contact us

Platform nature: Artomate is a web application (SaaS). No software download is required and no hardware requirements are imposed by us beyond having a compatible web browser and internet connection.

2. The Service

Artomate is an AI‑assisted print‑on‑demand workflow tool that helps users generate artwork and prepare listings for third‑party marketplaces such as Etsy. We do not operate or control any third‑party marketplace or store, and we do not guarantee any commercial results, audience reach, or revenue.

2.1 Third‑party platforms (e.g., Etsy)

We are not affiliated with, endorsed by, or officially connected with Etsy or any other marketplace. All third‑party names and trademarks are the property of their respective owners and are used for identification purposes only.
Your store, listings, compliance, and account status on any third‑party platform are your sole responsibility. If your store or account is suspended, restricted, or banned for any reason, we are not liable.
Integrations are provided on an "as is" basis and may change or break due to third‑party changes outside our control.

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
We may suspend or terminate access for actual or suspected breach of these Terms, unlawful use, or risk to the Service or others.

4. Plans, Credits, and Pricing

4.1 Plans

We offer subscription plans that may include a monthly allowance of image credits. Current plan details are shown at sign‑up and in your dashboard.

Enterprise (Beta) Plan: includes 400 image credits per billing cycle.

4.2 Image credits and usage fees

Image generation consumes 1 credit per image.
Credit valuation: 1 credit = £0.05.
If you exceed your included credits, you consent to metered usage charges based on your actual consumption, billed at the rates then in effect.
Prices may fluctuate over time (for example, as AI model costs change). Our intention is that per‑image costs trend down as models improve, but we do not guarantee pricing. We will post updated rates in‑product and/or on our Site. Continued use after rate changes constitutes acceptance.
Included credits reset each billing cycle. Unless we explicitly state otherwise in writing, unused credits do not roll over and are non‑refundable.

4.3 Billing and renewals

Subscriptions auto‑renew until canceled. You authorize us (and our payment processors) to charge all applicable fees, taxes, and metered usage.
You may cancel at any time, but—unless required by law—fees already paid are non‑refundable, and cancellation takes effect at the end of the current billing period.

5. Availability; Maintenance; Beta

The Service may be unavailable from time to time due to maintenance, updates, or factors outside our control (e.g., outages at hosting providers or third‑party APIs). We do not guarantee continuous uptime or error‑free operation.
During beta or early‑access periods, features may change, break, or be withdrawn. Use is at your own risk.

6. Your Responsibilities

You agree that you will:

Comply with all applicable laws, platform rules, and policies (e.g., Etsy policies) when using outputs from the Service.
Not use the Service to generate or publish unlawful, infringing, harmful, or deceptive content.
Not attempt to circumvent any limits, security, or metering; not reverse engineer, scrape, or misuse the Service.
Provide and maintain accurate account, billing, and tax information, and promptly pay all charges.

7. Content; IP; License to Outputs

Your Inputs. You retain ownership of text, prompts, images, and other content you submit to the Service (your "Inputs").
AI Outputs. Subject to these Terms and to any third‑party rights, we grant you a non‑exclusive, worldwide license to use, reproduce, display, sell, and commercialize images and other outputs generated for your account ("Outputs").
Third‑Party Rights & Compliance. You are solely responsible for ensuring that Inputs and Outputs do not infringe third‑party rights (e.g., copyright, trademarks, rights of publicity) and comply with marketplace rules. We do not provide legal advice and make no warranty that Outputs will be unique or non‑infringing.
We may use anonymized and aggregated data to improve the Service, in accordance with our Privacy Policy.

8. No Earnings Guarantee; Marketplace Risk

We do not guarantee that you will make money, achieve sales, or obtain any particular result. You acknowledge the inherent risks of selling on third‑party platforms, including enforcement actions, policy changes, algorithm changes, and market fluctuations. We are not responsible for any losses you incur, including if your store or account is suspended or banned.

9. Third‑Party Integrations and Your Store

We provide connectors, exports, or other integrations as a convenience. You are responsible for verifying listings, pricing, tags, descriptions, and compliance before publishing.
Store errors (including listing errors, mispricing, or policy breaches) are your responsibility. We disclaim liability for any resulting losses, takedowns, or account actions.

10. Prohibited Conduct

You must not:

Access or use the Service in violation of law or third‑party platform policies.
Interfere with or disrupt the Service, bypass access controls, rate limits, metering, or security.
Reverse engineer, decompile, or attempt to derive source code or underlying models, except to the limited extent permitted by law.
Resell, sublicense, or share your account without our written consent.

Violation may result in immediate suspension or termination without refund.

11. Privacy

Use of the Service is subject to our Privacy Policy, which explains how we collect and process personal data. By using the Service, you consent to such processing.

12. Warranties and Disclaimers

The Service, including all AI features and integrations, is provided "as is" and "as available."
We disclaim all warranties (express, implied, statutory), including merchantability, fitness for a particular purpose, and non‑infringement.
We do not warrant that the Service will be uninterrupted, secure, or error‑free, or that Outputs will be accurate, unique, or suitable for any specific purpose.

13. Limitation of Liability

To the maximum extent permitted by law:

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption, even if advised of the possibility.
Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (i) £100 or (ii) the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to liability.
Nothing in these Terms limits liability that cannot be limited by law (e.g., fraud, death or personal injury caused by negligence).

14. Indemnity

You will defend, indemnify, and hold harmless Mineshock Labs, its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Inputs, Outputs, listings, or stores; (b) your use of the Service; (c) any breach of these Terms; or (d) your violation of any law or third‑party rights.

15. Suspension and Termination

We may suspend or terminate access to the Service, or remove content, if we reasonably believe you have breached these Terms, created risk or possible legal exposure, or if required by law or a platform provider. Upon termination, your right to use the Service ceases immediately; sections that by nature should survive (including payment obligations, IP, disclaimers, limitations of liability, indemnity, and governing law) shall survive.

16. Changes to the Service and to these Terms

We may modify the Service and these Terms at any time. If changes are material, we will provide notice (e.g., in‑product, email, or on our Site). Changes take effect upon posting or notice, as stated. Continued use after the effective date constitutes acceptance.

17. Governing Law and Venue

These Terms and any non‑contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, and venue is appropriate in Manchester, subject to any mandatory consumer rights that apply.

18. General

Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements.
Severability. If any provision is unenforceable, the remainder will remain in full force, and the unenforceable provision will be replaced with an enforceable term that most closely reflects the intent.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
No Waiver. Failure to enforce any provision is not a waiver.
Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.

19. Non‑Affiliation Notice (Etsy and others)

Artomate / Mineshock Labs is an independent provider of workflow tools. We are not affiliated, associated, authorized, endorsed by, or in any way officially connected with Etsy or any other marketplace. Any references to third‑party platforms are for identification and descriptive purposes only.
